These Terms & Conditions of Sale ("Terms") govern all purchases made through gruen-systems.com (the "Site"), operated by Gruen Systems LLC ("Gruen," "we," "us," or "our"). By placing an order on the Site, you ("Buyer" or "you") agree to be bound by these Terms. Please read them carefully before purchasing.
1. Orders & Acceptance
All orders placed through the Site are subject to acceptance by Gruen. We reserve the right to refuse or cancel any order for reasons including, but not limited to, product availability, pricing errors, or suspected fraudulent activity. You will be notified if any part of your order is refused or delayed.
An order confirmation email does not constitute acceptance of your order — it confirms receipt only. A contract of sale is formed when we ship your order or otherwise confirm acceptance in writing.
2. Pricing & Payment
All prices are listed in U.S. Dollars and do not include applicable sales tax, duties, or shipping charges unless stated otherwise. Gruen reserves the right to change prices at any time without prior notice; the price applicable to your order is the price in effect at the time the order is placed.
Payment is due in full at the time of order unless you hold an approved dealer or trade account with separate payment terms. We accept major credit cards and any other payment methods indicated at checkout.
3. Shipping & Delivery
Orders placed before 2:00 PM ET on a business day generally ship the same day, subject to product availability. Delivery timeframes provided at checkout are estimates only; Gruen is not liable for carrier delays outside of our control.
Risk of loss and title for products purchased pass to you upon our delivery to the carrier. Please inspect all shipments upon arrival and report any visible damage to the carrier and to Gruen within 48 hours of delivery.
4. Returns & Cancellations
Standard-stock products may be returned within 30 days of delivery in unused, resalable condition and original packaging, subject to a restocking fee. Custom-cut, custom-finished, or special-order products (including field-cuttable items cut to length) are final sale and not eligible for return.
To initiate a return, contact our team in advance of shipping any product back so we can confirm eligibility and provide return instructions. Returns sent without prior confirmation may be refused or subject to additional processing fees.
5. Product Warranty
Gruen products are covered by our Limited Warranty, the terms of which are set out on our Warranty page and incorporated into these Terms by reference.
6. Installation & Use
Gruen products are designed for installation by qualified, licensed professionals in accordance with our published installation instructions and applicable local plumbing and building codes. Gruen is not responsible for damages or performance issues arising from improper installation, unauthorized modification, or failure to follow published guidance.
7. Limitation of Liability
To the fullest extent permitted by law, Gruen's total liability arising from any order shall not exceed the amount paid for the product(s) giving rise to the claim. Gruen shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, project delays, or costs of substitute products.
8. Intellectual Property
All content on the Site — including product designs, drawings, photography, trademarks, and the Gruen name and logo — is the property of Gruen Systems or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any license to use Gruen's intellectual property except as expressly permitted (for example, downloading CAD/BIM files for the purpose of specifying Gruen products in a project).
9. Company
The Site is operated by Gruen Systems LLC, a company organized under the laws of the United States, with its principal place of business in Atlanta, Georgia.
10. Dealer & Trade Accounts
Purchases made under a dealer, distributor, or trade account are additionally governed by the applicable dealer agreement, which shall control in the event of any conflict with these Terms as to pricing, territory, or account-specific terms.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or an order shall be subject to the exclusive jurisdiction of the state and federal courts located in Georgia.
12. Changes to These Terms
Gruen may update these Terms from time to time. The Terms in effect at the time an order is placed will govern that order. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
